These Terms & Conditions (“Terms”) govern your access to and use of RetailersKey, an all-in-one eCommerce and retail management SaaS platform, operated by RetailersKey (“Company”, “we”, “us”, or “our”). By accessing or using our website, software, or services, you agree to be bound by these Terms. If you do not agree with any part of these Terms, you must not use our services.

1. About RetailersKey

RetailersKey is a Software-as-a-Service (SaaS) platform that provides tools including but not limited to:

  • Online Store & Website Builder
  • Inventory & Product Management
  • POS (Point of Sale)
  • Sales, CRM & Customer Management
  • Marketing & Analytics Tools
  • Integrations and Add-on Services

RetailersKey may also provide professional services, such as setup, customization, training, support, and consulting.


2. Eligibility

You must:

  • Be at least 18 years old
  • Have the legal authority to enter into a binding agreement
  • Use the platform for lawful business purposes only

By using RetailersKey, you confirm that you meet these requirements.


3. Account Registration and Responsibility

  • You are responsible for maintaining the confidentiality of your login credentials.
  • You are responsible for all activities that occur under your account.
  • You agree to provide accurate, complete, and up-to-date information.

RetailersKey is not responsible for any loss or damage caused by unauthorized access resulting from your failure to secure your account.


4. Subscription Plans and Billing

  • RetailersKey offers paid subscription plans, which may include monthly or annual billing.
  • Fees are billed in advance and are non-refundable, unless stated otherwise.
  • We reserve the right to change pricing or plans with prior notice.

Failure to pay may result in account suspension or termination.


5. Free Trials

Free trials (e.g., 30-day trial) are provided without requiring payment details unless stated otherwise.

At the end of the trial, continued use requires an active paid subscription.

RetailersKey reserves the right to modify or cancel free trials at any time.


6. Use of Services

You agree not to:

  • Use the platform for illegal, fraudulent, or abusive purposes
  • Attempt to gain unauthorized access to systems or data
  • Upload malicious code, malware, or harmful content
  • Resell or sublicense the service without written permission

Violation may result in immediate suspension or termination.


7. Data and Content Ownership

You retain ownership of your business data, content, and customer information.

By using RetailersKey, you grant us a limited license to host, process, and display your data solely to provide the services.

You are responsible for the legality and accuracy of the data you upload.


8. Data Security and Privacy

We implement reasonable technical and organizational measures to protect your data.

Use of the platform is also governed by our Privacy Policy, which explains how we collect and handle data.

RetailersKey is not responsible for data loss caused by:

  • User error
  • Third-party integrations
  • Internet or hosting failures beyond our control


9. Third-Party Services and Integrations

RetailersKey may integrate with third-party tools (e.g., payment gateways, shipping providers, marketplaces).

  • We are not responsible for third-party services, availability, or policies.
  • Your use of such services is subject to their respective terms.


10. Professional and Support Services

Setup, customization, training, and support services may be billed separately.

Service scope, timelines, and deliverables will be agreed upon separately.

Delays caused by missing client input or approvals are not our responsibility.


11. Intellectual Property

All rights, title, and interest in:

  • Software
  • Branding
  • Logos
  • Documentation
  • Website content

remain the exclusive property of RetailersKey.

You may not copy, modify, reverse engineer, or redistribute any part without written permission.


12. Service Availability

We strive to provide high availability but do not guarantee uninterrupted service.

RetailersKey may perform:

  • Maintenance
  • Updates
  • Feature improvements

which may cause temporary downtime.


13. Termination

Either party may terminate the service:

  • By cancelling the subscription
  • For breach of these Terms

Upon termination:

  • Access to the platform will be disabled
  • Data may be permanently deleted after a retention period


14. Limitation of Liability

To the maximum extent permitted by law:

  • RetailersKey is not liable for indirect, incidental, or consequential damages
  • Total liability shall not exceed the amount paid by you in the last billing cycle

Use of the platform is at your own risk.


15. Indemnification

You agree to indemnify and hold RetailersKey harmless from claims, losses, or damages arising from:

  • Your misuse of the platform
  • Violation of laws or third-party rights
  • Content or data you provide


16. Modifications to Terms

We may update these Terms from time to time.

Continued use of RetailersKey after changes means you accept the updated Terms.
